Terms of service.

These are general terms. If you have signed a partner agreement with us, that agreement prevails over these terms where they conflict.

1. About these terms

These terms apply to your use of the Energy Merchants website and to the sale of certificates to us. By lodging a claim or creating a partner account, you agree to them. Our privacy policy explains how we handle your information.

2. Eligibility

To trade with us you must be an accredited installer or a business entitled to create the relevant certificates, hold a valid ABN, and provide accurate business, accreditation and bank details. You must tell us promptly if any of these change.

3. Assignment of certificates

When you lodge a claim, you assign to us (or to our nominee) the right to create and own the certificates for that installation, using the assignment form and any other documents we require. You warrant that you are entitled to assign them, that the information you give is true, and that the installation complies with the applicable legislation and standards.

4. Rates and rate lock

We publish our buy price on the pricing page. Rates move with the market and are indicative until a claim is lodged. Your rate is locked when a complete claim is lodged with us. A claim is complete when we hold every form, photo and detail needed to lodge it. We charge no fees and make no deductions from the agreed price.

5. Settlement timing

For established partners, we aim to pay within 24 hours of sign-off. For a new partner's first claim, settlement is expected within 48 to 72 hours while we verify your details. Settlement times run on business days and depend on you providing accurate bank details.

6. Right to withhold payment

We may withhold or delay payment where a claim is incomplete, inconsistent, the subject of an investigation, or we reasonably suspect it is incorrect or fraudulent. We will tell you why and what is needed to resolve it. We may refuse to deal with, or terminate, an account involved in fraudulent claims and may report them to the relevant authority.

7. Audits and cooperation

You must keep installation records, including photos, serial numbers and compliance documents, for the period required by law. You agree to cooperate promptly with any audit or inquiry by the Clean Energy Regulator, a state regulator, REC Traders or us, and to give us the records we reasonably request.

8. Clawback for invalidated certificates

If a certificate we have paid for is invalidated, cancelled or found to be non-compliant because of your installation, information or documents, you must repay the amount we paid for it, and we may set that amount off against future settlements.

9. Partner Program

The Partner Program has three tiers: Partner, Preferred and Principal. Tiers are reviewed quarterly based on your volume. Perks, rate premiums and eligibility criteria may change, and we will give you reasonable notice of a material change. Perks have no cash value and cannot be transferred.

10. Website use

Website content is general information, not financial, tax or legal advice. Published rates are indicative. You must not misuse the website or portal, attempt unauthorised access, or submit false information.

11. Liability

To the extent permitted by law, we exclude liability for indirect or consequential loss, including loss of profit, and our total liability relating to a claim is limited to the amount payable to you for the certificates concerned. Nothing in these terms excludes rights you have under the Australian Consumer Law that cannot be excluded.

12. Changes and termination

We may update these terms from time to time by publishing the new version here. Either of us may end the relationship by written notice. Claims already assigned and any amounts owed continue to be governed by these terms.

13. Governing law

These terms are governed by the laws of Victoria, Australia, and each party submits to the non-exclusive jurisdiction of the courts of Victoria.
